Due to the perishable nature of food products, all sales are generally final once an order has been confirmed and preparation has begun. Refunds or replacements may be offered at our sole discretion in cases where:

• A food safety concern is documented and reported within a reasonable time.

Delivery services are available only within designated service areas as determined by Seasons Pizza. Estimated delivery times provided are approximations only and are not guaranteed. Delivery times may vary based on factors including, but not limited to, order volume, weather conditions, traffic, and staffing availability.

You are responsible for providing an accurate and complete delivery address. We shall not be liable for delays or failures in delivery resulting from inaccurate or incomplete address information provided by you. If a delivery cannot be completed due to circumstances beyond our control or due to your unavailability, you may still be charged for the order.

8. Food Safety and Allergen Disclaimer

Seasons Pizza takes food safety seriously and complies with applicable federal and state food safety regulations, including those enforced by the United States Food and Drug Administration (FDA) and applicable state and local health authorities.

However, we cannot guarantee that our food products are free from allergens. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SEASONS PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your use of or inability to use the Site or our services;
• Any errors, omissions, interruptions, or delays in the operation of the Site;
• Unauthorized access to or alteration of your transmissions or data;
• Any food-related illness or allergic reaction resulting from the consumption of our products;
• Any conduct or content of any third party on the Site;
• Any matter beyond our reasonable control.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO SEASONS PIZZA DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

10. Disclaimer of Warranties

THE SITE AND ALL CONTENT, PRODUCTS, AND SERVICES PROVIDED THROUGH IT ARE OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SEASONS PIZZA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
• Warranties that the Site will be uninterrupted, error-free, or free of viruses or other harmful components;
• Warranties regarding the accuracy, reliability, or completeness of any content or information on the Site;

We make no warranties or representations about the accuracy or completeness of the Site's content or any content of any websites linked to this Site and assume no liability or responsibility for any:

You agree to defend, indemnify, and hold harmless Seasons Pizza, its affiliates, subsidiaries, officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorneys' fees) arising from:

15. Dispute Resolution

15.1 Informal Resolution

We will make a good-faith effort to resolve your concern within thirty (30) days of receiving notice of the dispute.

15.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration on an individual basis before a single arbitrator in accordance with the rules of the American Arbitration Association (AAA) or JAMS, as mutually agreed upon by the parties. The arbitration shall be conducted in English and shall take place in the United States.

The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Each party shall bear its own costs and attorneys' fees unless the arbitrator determines that the claim was frivolous or brought in bad faith.

15.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND SEASONS PIZZA AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION OR PROCEEDING.

15.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened misappropriation of intellectual property rights, breach of confidentiality obligations, or other irreparable harm.

16. Term and Termination

These Terms are effective as of the date you first access the Site and will remain in full force and effect unless and until terminated in accordance with the provisions herein.

We reserve the right, at our sole discretion, to immediately terminate or suspend your access to all or any portion of the Site and our services, with or without prior notice and without liability to you, for any reason, including but not limited to:

• Suspected fraudulent, abusive, or illegal activity;
• Requests by law enforcement or other government agencies;

19. Waiver

No waiver by Seasons Pizza of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of Seasons Pizza to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Site, shall constitute the entire agreement between you and Seasons Pizza concerning the Site and our services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, with respect to the subject matter hereof.

These Terms shall not be interpreted against the drafter. Both parties acknowledge that they have had the opportunity to seek legal counsel prior to entering into this agreement.

21. Force Majeure

Seasons Pizza shall not be liable or responsible to you, nor be deemed to have breached these Terms, for any failure or delay in our performance under these Terms when and to the extent such failure or delay is caused by or results from acts or circumstances beyond our reasonable control, including, without limitation, acts of God, flood, fire, earthquake, explosion, hurricane, governmental actions, war, invasion or hostilities, terrorist threats or acts, pandemic or epidemic, labor disputes, power outages, internet service provider failures, or denial-of-service attacks.

22. Electronic Communications

By using our Site or communicating with us via electronic means (including email), you agree and acknowledge that all agreements, notices, disclosures, and other communications we send you electronically satisfy any legal requirement that such communications be in writing. You agree that electronic communications shall have the same legal effect as if they were in writing and signed by both parties.
